ABSTRACT
This article discusses the United Nation Convention rules that govern import and export activities in a growing number of countries. The United Nation Convention applies to contracts for the sale of goods between parties whose principal places of business are in at least two signatory countries to the convention. Thus, without a choice of law provision to the contrary, a sales agreement between a U.S. business and a company located in any other signatory country will be governed by the convention. The convention generally does not cover sales to consumers or transactions where labor or other services dominate the contract.
