ABSTRACT
The article presents information on the future of the Fraud-Created-The-Market Theory. It states that fraud-created-the-market theory is a contentious tool for private Section 10(b) and Rule 10b-5 jurisprudence and allows plaintiffs in assuming reliance in the primary market. It discusses the decision in the court case of Malack v. BDO Seidman LLP. and the rationale behind the rejection of the theory by Third Circuit.
