ABSTRACT
The article discusses the debate on corporate governance in the Supreme Court case Citizens United v. Federal Elections Commission (FEC) under the First Amendment of the Constitution in the U.S. It explains Citizens United's support for corporate speech regulation in the context of corporate governance theory. It examines some of the effects of the theory for various types of firms and speech such as the exemption for non-profits and its application to large corporation.
