ABSTRACT
The article reports that the U.S. Securities and Exchange Commission (SEC) has urged Bank of America Corporation to give shareholders more power to fire directors. Bank of America persuaded the SEC to drop the "proxy access" provision as they negotiated a settlement of a lawsuit related to the Merill Lynch and Company takeover. SEC Chairman Mary Schapiro discusses the proxy access clause.
