ABSTRACT
The article reports on the decision by shareholders of Patriot Capital Funding Inc. to approve the company's proposed merger with Prospect Capital Corporation. It is reported, however, that a small group of Patriot's investors has launched an investigation to determine whether the board of directors breached fiduciary duty related to an alleged unfair takeover price following the signing of the agreement. Patriot has also modified the final dividend and set a new record date for the transaction.
