ABSTRACT
The article presents advice by Howard Lax, an attorney, related to creating or modifying confidentiality contracts signed by business enterprises in the U.S. with their vendors. According to Lax, if a firm has signed a contract with a service provider who possesses confidential information about its customers, it must include a clause requiring that the information be kept confidential. He adds that firms should exercise appropriate due diligence in selecting their vendors.
