ABSTRACT
The article reports on the decision of BASF to publish the prospectus for the public takeover offer to the shareholders of Ciba Holding AG in Basel, Switzerland following examination by the Swiss Takeover Board in 2008. The takeover price offered by BASF to Ciba shareholders corresponds to a premium of 32% above the closing price for Ciba shares on September 12. Shareholders are encouraged by Ciba boards of directors to accept the offer. The conditions for the public takeover offer are detailed in the prospectus.
