ABSTRACT
The article examines the ruling in the Prudential Assurance Co. Ltd. v. Ayres case. Prudential involved the familiar tale of a landlord pursuing former tenants following the insolvency of the current tenant. The origin of the dispute was the deal under which the respondents, who were partners in a U.S. law firm, assigned their lease in 2001. The assignee was another firm of U.S. lawyers, Altheimer & Gray (A&G), and it had insisted on an unusual requirement. The truth is that all three parties failed to think through the full ramifications of the deal.
