ABSTRACT
The article focuses on the material adverse change (MAC) and material adverse effect (MAE) clauses as important terms in merger and acquisition negotiations. Such clauses are said to be vital despite the uncertainty about their effect and meaning. They are aimed at addressing the possible threats between the signing and the closing of the agreement, which will likely to affect the value of the target.
