ABSTRACT
The article reports on the ruling by a Dutch court on the shareholder loyalty dividend programme of DSM Co. The Enterprise section of the Amsterdam Court of Appeals said the proposed scheme violated the principle of equality, meaning the company could not put the proposal before its annual general meeting. The scheme allowed anyone owning DSM shares for at least three years to register for a loyalty bonus of 30% of the average dividend for the past three years and 10%/year thereafter.
