ABSTRACT
The article discusses the popularity of using virtual data rooms (VDR) in merger and acquisition transactions in the United States. Using online data rooms for quick responses in hostile situations is one of the uses for VDR according to Intralinks vice president of product management Matt Porzio. Among the advantages of using VDR include: sellers and their advisers can closely monitor the auction process and sellers can gauge the kind of interest a buyer has, even if it is not a competitor. Some of the providers of VDR are Intralinks Inc. and Merrill DataSite.
