ABSTRACT
The article focuses on issues related to electronic proxy voting by shareholders. The Business Roundtable is soliciting the U.S. Securities and Exchange Commission to amend rules related to direct communication by public companies to shareholders on matters that shareholders will be voting on. There would be much cost saving for companies if they could directly or electronically deliver shareholder materials to beneficial owners. The electronic proxy voting will reduce the frequency of over-voting as audit trails can easily cite the stock's owner of record.
