ABSTRACT
The article presents information on the judgment given by the Delaware Chancery Court regarding Walt Disney Co.'s board hiring (and firing) of Michael Ovitz. In the Walt Disney derivative litigation, Michael Ovitz won his huge severance package from Disney. The Disney trial painted an unflattering and embarrassing picture of corporate governance at Walt Disney Co. Michael Eisner. The Ovitz case raised questions of whether the directors had breached their fiduciary duty of care and otherwise acted in good faith.
