ABSTRACT
The article focuses on the Sarbanes-Oxley Act (SOX) of 2002. Once an issuer begins filing with the U.S. Securities and Exchange Commission (SEC), most or all of SOX applies to its filings. SOX imposes a host of rigorous reporting requirements, including Section 404, which mandates that companies document and certify the effectiveness of their internal controls in year-end filings. SOX has led some private companies to think about how much it would cast to pull out of the public high-yield market. Apollo Advisors LP's public mezzanine fund is marketing mezzanine financing in part as a way to avoid SOX compliance. The high-yield market itself would be more attractive to issuers should it cease requiring nonpublic companies to file with the SEC.
