ABSTRACT
The article discusses the board's problem in holding a chief executive officer (CEO) accountable due to the directors' developed closeness with and inclination to protect the CEO. Topics covered include the board's need to consider first principles on who is responsible for what, and to monitor risk and reward metrics and progress regarding strategic goals at every board meeting. Also noted is the board's best way to help the CEO which is calling for a regular accounting of his/her actions.
